Ethics & Conduct

Our shared commitment to doing the right thing — every time, without exception.

Introduction

At Aussie Solutions Australia, integrity, trust, and accountability are the foundations of our success. Our reputation has been built through ethical decision-making, compliance with the law, and respect for our people, clients, partners, and the communities in which we operate.

This Code of Business Ethics and Conduct reflects our shared commitment to doing the right thing—every time, without exception. It sets out the standards of behavior expected of all associates, managers, executives, and directors, and provides guidance for navigating ethical issues that may arise in the course of our work.

Ethical conduct is not merely a policy requirement; it is a personal responsibility. Each of us is expected to act with honesty, professionalism, and sound judgment, and to speak up if something does not seem right. Aussie Solutions Australia will always support those who raise concerns in good faith.

By living these values and adhering to this Code, we protect Aussie Solutions Australia's reputation, strengthen our relationships, and ensure the long-term sustainability of our business.

Purpose and Scope

Aussie Solutions Australia is committed to conducting its business with the highest standards of integrity, professionalism, and ethical behavior. This Code of Business Ethics and Conduct sets forth the principles and standards that govern the conduct of all associates, managers, executives, and directors of the Company.

This Code applies to all Company operations and business relationships, including dealings with customers, suppliers, subcontractors, competitors, government officials, and other stakeholders.

Core Values and Ethical Standards

The Aussie Solutions Australia reputation is one of its most valuable assets. Each associate is expected to act honestly, ethically, and responsibly, and to exercise good judgment in all business activities. Ethical conduct is not only a legal requirement but a fundamental condition of employment and engagement with the Company.

Compliance with Laws and Regulations

Aussie Solutions Australia is committed to full compliance with all applicable laws, regulations, and industry standards in every jurisdiction where it operates. Associates must understand and comply with the legal requirements relevant to their roles.

If questions arise regarding legal obligations or appropriate conduct, associates are encouraged to seek guidance from their supervisor, Human Resources, or the Company's Legal Representative.

Anti-Bribery and Anti-Corruption

Aussie Solutions Australia maintains a zero-tolerance policy toward bribery and corruption. Associates must not offer, promise, give, request, or accept bribes, kickbacks, facilitation payments, or any other improper advantage, whether directly or indirectly.

Company funds, assets, or resources must never be used for unlawful or unethical payments. Third parties, including consultants, agents, attorneys, and accountants, may not be engaged in any manner that violates this policy. Compensation paid to third parties must be reasonable, transparent, and commensurate with legitimate services rendered.

Accurate Books, Records, and Accounting Practices

Aussie Solutions Australia is committed to maintaining accurate, complete, and transparent financial records in accordance with accepted accounting principles and internal controls.

All transactions must be properly authorized, recorded, and supported by appropriate documentation. No payment may be made or approved with the understanding that it will be used for purposes inconsistent with this Code or applicable laws. Company assets must be safeguarded and used solely for legitimate business purposes.

Conflicts of Interest

Associates must avoid situations where personal interests conflict, or appear to conflict, with the interests of the Company. A conflict of interest exists when an individual's private interests interfere, or could reasonably be perceived to interfere, with objective decision-making on behalf of the Company.

Examples of potential conflicts include, but are not limited to:

  • Financial interests in, or business relationships with, competitors, suppliers, or customers of the Company
  • Buying, selling, or leasing property from or to the Company, or near locations of known Company interest
  • Accepting payments, gifts, services, loans, or engaging in consulting or romantic relationships with individuals or entities doing business with or competing against the Company
  • Similar interests or activities involving immediate family members
  • Outside employment or business activities that interfere with company responsibilities
  • Working in a supervisory or closely related role with a relative or romantic partner

Associates must promptly disclose any actual or potential conflict of interest to their supervisor, department head, or Human Resources. The company will review and determine appropriate actions to manage or resolve the conflict.

Supplier and Business Partner Relations

Aussie Solutions Australia is committed to fair, transparent, and ethical dealings with all suppliers, subcontractors, and business partners. Selection decisions are based on objective criteria, including price, quality, service, reliability, and business considerations.

All suppliers are expected to comply with applicable laws and ethical standards consistent with this Code.

Gifts, Entertainment, and Hospitality

Gifts, entertainment, or hospitality must never influence, or appear to influence, business decisions. Associates may not derive personal benefit from company business relationships.

Any gifts or hospitality must be modest, reasonable, infrequent, and consistent with customary business practices and applicable laws. Associates must comply with the Company's Gifts and Entertainment Policy, which provides detailed guidance and approval requirements.

Hospitality extended to government officials or public-sector representatives must comply strictly with applicable anti-corruption laws and must never be intended to secure improper advantage.

Confidential Information and Trade Secrets

Aussie Solutions Australia is committed to protecting confidential information, proprietary data, and trade secrets. Associates must safeguard non-public information relating to the Company, its customers, suppliers, and business partners.

Confidential information includes, but is not limited to, financial data, pricing, bids, contracts, technology, systems, software, business methods, and strategic plans. Such information may only be disclosed with proper authorization or when legally required.

These obligations continue even after an associate's employment or engagement with the Company ends.

Fair Competition and Antitrust Compliance

Aussie Solutions Australia supports free and open competition and complies with all applicable competition and antitrust laws. Associates must not engage in agreements or discussions with competitors regarding pricing, bidding, market allocation, or other anti-competitive practices.

Any conduct that could restrict fair competition or create the appearance of collusion is strictly prohibited.

Customer Relations

Aussie Solutions Australia is committed to delivering high-quality services and maintaining honest, transparent, and respectful relationships with customers. Customers are entitled to fair pricing, accurate information, and services that represent good value.

All advertising, proposals, and communications must be truthful, clear, and not misleading. Associates must respond to customer inquiries and concerns promptly and professionally.

Workplace Conduct and Equal Opportunity

Aussie Solutions Australia is committed to providing a workplace free from discrimination, harassment, and retaliation. Employment decisions are based on merit and business needs, without regard to race, color, religion, gender, national origin, age, disability, sexual orientation, or gender identity.

The Company promotes a safe and healthy work environment and supports associate development through training, performance evaluation, and career growth opportunities.

Associates are expected to treat one another with dignity, respect, and professionalism at all times.

Reporting Ethical Concerns and Violations

All associates have a duty to report any known or suspected violations of this Code, misuse of Company assets, illegal conduct, or unethical behavior. Failure to report or concealment of violations may itself constitute a violation of this Code.

Concerns may be reported to a direct supervisor, department head, Human Resources, or the Chief Executive Manager. Alternative reporting channels are available to ensure concerns can be raised without fear.

Non-Retaliation

Aussie Solutions Australia strictly prohibits retaliation against any associate who, in good faith, reports a concern or participates in an investigation. Retaliation will result in disciplinary action, up to and including termination.

Annual Certification and Training

Associates, managers, and directors are required to periodically certify their understanding of and compliance with this Code. The Company will provide ongoing training and communication to reinforce ethical standards and expectations.

Management Responsibilities and Enforcement

Managers and leaders are responsible for promoting ethical behavior, maintaining an open-door environment, and promptly addressing ethical concerns. Suspected violations must be investigated thoroughly, with support from Legal or other appropriate functions when necessary.

Violations of this Code may result in disciplinary action, up to and including termination of employment or contract, and referral to legal authorities where appropriate.

Commitment to Ethical Excellence

Ethical conduct is integral to the Aussie Solutions Australia success. All associates are expected to uphold this Code, exercise sound judgment, and demonstrate moral courage in their actions. By doing so, we protect our reputation, our stakeholders, and the long-term sustainability of Aussie Solutions Australia.
